Catalyst by Vitalis – Membership Terms & Conditions

These Terms & Conditions (“Terms”) govern membership in Catalyst by Vitalis, a platform operated by Vitalis Capital Ltd (“Vitalis Capital”, “we”, “us”, “our”). By applying for membership, you (“Member”, “you”) agree to comply with and be bound by the following Terms.

1. Membership Eligibility

1.1 Membership is open to investors and CSR budget holders who wish to participate in Catalyst by Vitalis.
1.2 All applicants must undergo full due diligence (“DD”) checks, including but not limited to:

• Know Your Customer (KYC)

• Know Your Business (KYB)

• Anti-Money Laundering (AML)

• Sanctions screening

• Politically Exposed Person (PEP) screening
  1.3 Membership is conditional on successful completion of all required DD checks.

2. Membership Fees

2.1 Members may choose one of the following payment options:

• Option 1: Pay in full at £15,000 (one-time upfront payment).

• Option 2: Pay in two instalments of £8,000 each (£16,000 total).

2.2 Membership fees must be paid upfront at the time of application (in full or by first instalment).
2.3 Fees are non-refundable except as set out in Section 4.

3. Due Diligence Process

3.1 Membership is subject to successful completion of the DD process.
3.2 Until DD clearance is confirmed, access to Catalyst by Vitalis features and benefits will be limited.
3.3 Upon successful DD clearance, Members will receive full access to all features, benefits, and services available through Catalyst by Vitalis.

4. Refund Policy

4.1 Full Payment Members (£15,000):

• If DD is unsuccessful, £7,000 will be refunded.

• £8,000 is retained to cover due diligence, administration, and processing costs.

4.2 Instalment Members (£8,000 + £8,000):

• If DD is unsuccessful, no refund will be issued for the first £8,000 instalment.

• Membership will be terminated and the second instalment will not be collected.

4.3 No refunds will be provided if a Member:

• Withdraws their application voluntarily after payment;

• Provides false, misleading, or incomplete information during the application or DD process; or

• Breaches these Terms.

5. Member Obligations

5.1 Members must provide accurate, complete, and up-to-date information for DD purposes.
5.2 Members must promptly notify Vitalis Capital Ltd of any material changes to their personal or business information.
5.3 Members agree not to engage in any activity that may bring Vitalis Capital Ltd, Catalyst by Vitalis, its partners, or associated projects into disrepute.

6. Termination of Membership

6.1 Vitalis Capital Ltd reserves the right to terminate or suspend membership immediately if:

• DD identifies a risk that makes the Member unsuitable;

• The Member breaches these Terms;

• The Member engages in unlawful or unethical conduct.

6.2 In such cases, no refund will be issued except as provided in Section 4.

7. Limitation of Liability

7.1 Catalyst by Vitalis provides membership as a platform for curated opportunities. Membership does not guarantee investment returns, CSR outcomes, or access to specific projects.
7.2 Vitalis Capital Ltd shall not be held liable for any losses, damages, or claims arising from Member activities, investments, or engagements beyond the scope of membership.

8. Governing Law & Jurisdiction

8.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Amendments

9.1 Vitalis Capital Ltd reserves the right to amend these Terms at any time. Members will be notified of material changes. Continued membership following notification constitutes acceptance of the revised Terms.
